You agree not to:
You retain all rights to the data you put into Vernala ("Customer Data"). You grant Vernala a limited license to host, copy, transmit, and display Customer Data solely to provide and improve the Service for you.
You are responsible for the accuracy of Customer Data and for making sure you have the right to enter it — including landowner contact details, donor records, and monitoring photos.
Vernala, our logos, and the Service software are owned by Vernala, Inc. and protected by copyright, trademark, and other laws. Feedback you send us may be used to improve the Service without obligation to you.
You may cancel at any time from Settings › Billing. We may suspend or terminate accounts that materially breach these Terms, present a security risk, or become subject to a bona fide legal request. Where practical we will give notice and a chance to cure.
Vernala is provided "as is." We do not guarantee that grant deadlines pulled from third-party sources are complete or that any AI-generated draft is factually correct or legally sufficient. You are responsible for reviewing anything Vernala produces before you rely on it.
To the maximum extent permitted by law, Vernala’s aggregate liability arising out of or relating to the Service will not exceed the amount you paid us in the 12 months before the claim. We are not liable for indirect, incidental, special, or consequential damages.
You will defend and indemnify Vernala against third-party claims arising from your Customer Data or your use of the Service in violation of these Terms.
These Terms are governed by the laws of the Commonwealth of Massachusetts, without regard to conflict-of-laws principles. The state and federal courts located in Boston, Massachusetts have exclusive jurisdiction over any dispute.
We may update these Terms from time to time. For material changes we will notify account admins at least 30 days in advance. Your continued use after the effective date constitutes acceptance.
